These Terms & Conditions (“Terms”) govern your use of ubuntudoctorcoaching.com (the “Website”) and the purchase and use of services provided by Ubuntu Doctor Coaching LLC (“Ubuntu Doctor Coaching,” “we,” “us,” or “our”), a limited liability company based in North Carolina, USA. By using the Website or purchasing our services, you agree to these Terms. If you do not agree, please do not use the Website or our services.

1. Services

Ubuntu Doctor Coaching provides professional coaching, leadership development, mentor coaching, keynote speaking, workshops, executive education, and related resources (collectively, the “Services”). The Services are professional development services. They are not medical care, psychotherapy, counselling, legal advice, or financial advice. Please see our Disclaimer.

2. Coaching Engagements

  • Individual engagements are entered into through a personally reviewed application, followed by a private fit conversation, and, where agreed, a coaching engagement with a minimum duration of six months.
  • Coaching is a partnership. Results depend substantially on the client's participation, decisions, and actions. We do not guarantee any particular professional, financial, or personal outcome.
  • Coaching is delivered in accordance with the International Coaching Federation (ICF) Core Competencies and Code of Ethics, including its confidentiality provisions, subject to disclosures required by law.
  • Organizational engagements (sponsored coaching, programmes, workshops, and speaking) are governed by these Terms together with any written agreement or statement of work between us and the organization. Where there is a conflict, the written agreement prevails.

3. Payment

  • Fees are stated in US dollars and are payable in advance unless otherwise agreed in writing.
  • Payments are processed securely by Stripe or as otherwise invoiced. We do not store full payment card details.
  • Organizational engagements are invoiced according to the agreed statement of work. Invoices are payable within the period stated on the invoice.
  • You are responsible for any applicable taxes, duties, or bank charges.

4. Scheduling, Cancellations & Refunds

  • Sessions are scheduled through our online scheduling system. Please arrive on time; sessions end at the scheduled time regardless of start time.
  • Rescheduling / cancellation by you: individual sessions may be rescheduled or cancelled with at least 24 hours' notice at no charge. Sessions cancelled with less than 24 hours' notice, or missed without notice, may be charged in full.
  • Cancellation by us: if we need to reschedule, we will offer an alternative time or, where a paid session cannot reasonably be rescheduled, a refund for that session.
  • Refunds: completed sessions are non-refundable. Fees for multi-session engagements are refundable on a pro-rata basis for sessions not yet delivered, less any agreed setup or administrative costs, unless otherwise stated in a written agreement.
  • Speaking and organizational engagements are subject to the cancellation terms in the applicable written agreement.

5. Website Use

You may use the Website for lawful purposes only. You agree not to: (a) interfere with the Website's operation or security; (b) attempt to gain unauthorized access to any systems or data; (c) use the Website to transmit unlawful, harmful, or infringing material; or (d) scrape, harvest, or misuse content or personal information found on the Website.

6. Intellectual Property

  • All content on the Website and in our materials — including text, guides, playbooks, toolkits, frameworks, presentations, recordings, graphics, logos, and the Ubuntu Doctor Coaching name and marks — is owned by or licensed to Ubuntu Doctor Coaching LLC and is protected by copyright, trademark, and other intellectual property laws.
  • Downloadable resources are provided for your personal, non-commercial use. You may not reproduce, distribute, sell, licence, or create derivative works from our content without our prior written permission. Institutional redistribution requires a written licence.
  • Nothing in these Terms grants you any right to use our trademarks or branding.

7. Third-Party Services

The Website integrates third-party services (including Cal.com, Stripe, Formspree, Mailchimp, YouTube, and Podbean). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

8. Disclaimers

The Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 9. Limitation of Liability

To the maximum extent permitted by law: (a) Ubuntu Doctor Coaching LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to the Website or the Services; and (b) our total aggregate liability for any claim arising out of or relating to the Website or the Services will not exceed the amount you paid to us for the Services giving rise to the claim in the twelve (12) months preceding the event, or one hundred US dollars ($100) if you have not paid us any amounts. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Ubuntu Doctor Coaching LLC and its members, officers, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Website or the Services.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-law rules. Any dispute arising out of these Terms or the Services will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property.

12. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Website or Services after changes take effect constitutes acceptance of the revised Terms.

13. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with any written service agreement and our Privacy Policy, constitute the entire agreement between you and us regarding the Website and the Services.
